Officer and Director Responsibilities
The Chapter’s Board of Directors consists of elected Officers and the Directors of all committees. Per the Chapter Bylaws, the Board is tasked with supervising the affairs and business of the chapter and performing the duties of the Chapter.
The Chapter Bylaws outline specific responsibilities for Officer positions and general responsibilities for Directors. The pages identifies these responsibilities and others identified by the Chapter Board.

Elected Officers
President
- Attend Board of Director (BOD) meetings
- Exercise vote in all motions on the table
- Attend quarterly ISACA International Chapter Leader calls
- Responsible for defining, managing and reporting on overall budget for general chapter BOD activities
- Develop, maintain, implement and monitor the chapter’s strategic plan
- Hold (a) strategic planning meeting(s)
- Preside at meetings of the Chapter and the Chapter Board
- Appoint all committee chairpersons and members
- Be an ex-officio member of all committees except the Nominating Committee
- Represent the Chapter at Leadership Conferences, Presidents Council Meetings and other conferences and functions, where appropriate or appoint another Chapter Board member as a representative
- Present an annual report to members at the Annual Meeting of the Chapter Membership – such report to consist of reports from various Chapter officers and committees
- Maintain communications with ISACA and respond to ISACA inquiries
- Be responsible for submission of the required annual chapter reports to ISACA within 30 days after the Chapter’s Annual Meeting
- Supervise budgetary matters and proper internal control of finances
- Perform other duties as they pertain to the office of President or assigned by the Chapter Board
Vice President
- Attend BOD meetings
- Exercise vote in all motions on the table
- Attend quarterly ISACA International Chapter Leader calls
- Support President in setting up logistical functions in support of BOD meetings
- Preside at meetings of the Chapter and the Chapter Board, in the absence of the President
- Perform the duties of the President in the event of his/her absence or disability
- Perform other duties as they pertain to this office or assigned by the Chapter Board
Secretary
- Attend BOD meetings
- Exercise vote in all motions on the table

- Ensures the staffing of Committee Associate Directors
- Responsible for defining, managing and reporting on overall budget for secretarial, archiving and SharePoint activities
- Take minutes of the meetings of the Chapter Board, membership meetings, and AGM, and maintain a copy of the records
- Maintain accurate attendance records
- Be responsible for the legal affairs, Chapter records and correspondence pertaining to the Chapter
- Lead the reviews of Chapter practices as compared to Chapter Bylaws required by Article VII as appropriate
- Assist the President in the administration of Chapter membership meetings
- Perform other duties as they pertain to this office or assigned by the Chapter Board
Treasurer
- Attend BOD meetings
- Exercise vote in all motions on the table
- Attend quarterly ISACA International Chapter Leader calls
- Ensures the staffing of Committee Associate Directors
- Be custodian of Chapter funds
- Receive and disburse such funds of the Chapter as shall be required in the conduct of its affairs and the carrying on of its activities or as directed by the Chapter Board
- Remit dues to ISACA as required
- Ensure financial transactions comply with established financial policies and procedures
- Submit a written report at each regular meeting
- In concert with the President, authorize expenditures from, or transfers of funds from/to, the Chapter US dollar credit account held with ISACA
- Oversee budget formulation and execution
- Submit annual financial statements for presentation to the membership at the Annual Meeting of the Chapter Membership
- Submit books and records for audit when required
- File any and all tax forms required
- Maintain QuickBooks and makes these records available for audit when required
- Perform other duties as they pertain to this office or assigned by the Chapter Board
Immediate Past President
- Attend BOD meetings

Directors
Associate Directors Supporting the Secretary
Scribe
- Record, distribute, and post the meeting minutes from all Board meetings
- Record all motions, create votes, and follow through on reaching quorum on motions
- Assist Secretary with responsibilities as assigned
Archivist
- Create a history of GWDC activities
- Monitor the retention period for GWDC artifacts
- Organize GWDC artifacts appropriately in the SharePoint site
- Advise the Board prior to disposal of GWDC artifacts
Associate Directors Supporting the Treasurer
Treasurer’s Assistant
- Assist the treasurer in completing the Chapter’s financial reports
Budget Associate Directors
- Track the Chapter’s expenditures and report actuals to the Treasurer on a monthly basis
Programs Committee
Director, Programs

- Draft an annual budget in support of committee initiatives. This budget will be submitted to the Treasurer based on the announced deadlines
- Ensure committee objectives are provided to the Chapter Board and posted within the Chapter website. Changes to the objectives should be discussed with the Chapter Board
- Ensure that required tasks and initiatives are adequately staffed and appropriate deadlines are met. Additionally, provide cross-training as necessary to ensure seamless transitions
- Provide, at a minimum, a monthly status report to the Chapter Board. Any challenges requiring urgent attention should be immediately disclosed to the Chapter Board

The Programs committee delivers the educational and training programs for the chapter. The specific duties of the Director, Programs are:
- Provide general oversight of ISACA-GWDC programs (Monthly Conferences and Special Seminars)
- Responsible for defining, managing, and reporting on overall budget for Monthly Conferences, Special Seminars, and Annual General Meeting (AGM) activities within established timeframes
- Work with Monthly Conference Associate Director, Special Seminars Associate Director and Annual General Meeting Associate Director to define schedule & topics for ISACA-GWDC fiscal year
- Work with Marketing and Communications Directors to promote events and messaging for all programs
Annual Meeting Associate Director
- Coordinate annual meeting with programs director and conference Associate Director.
- Plan annual meeting sessions and agenda with programs director and conferences
Monthly Conference Associate Director
- Coordinate all monthly conferences with conference host and communications team
- Coordinate tasks with other chapter committees
Special Seminars Associate Director
- Coordinate special seminars and provide new training opportunities via special seminars
Executive Seminars Associate Director
- Coordinate executive seminars and provide new training opportunities for C-level executives
Venue Coordination Associate Director
- Coordinate venue needs for the chapter and make arrangements for various events
NASBA Associate Director
- Coordinate with all committees with respect to events and compliance requirements
- Collect documentation required for the NASBA compliance for all events
Registration Associate Director
- Coordinate all events’ registration and handle registrations tasks
Certifications Committee

- Responsible for defining, managing, and reporting on overall budget for all certification review courses and COBIT training activities within established timeframes
- Ensures contracts are in place for instructors and facilities as required for certification review courses and COBIT training activities
- Coordinates the overall direction for certification review courses and COBIT training activities
CISA® Associate Director
- Maintain resource material related to CISA certification
- Promote CISA accreditation within the Chapter membership
- Coordinate exam review sessions
- Report on exam results
- Act as a liaison between exam participants and the Chapter, including ISACA International, and
- Perform other duties as pertain to the Chapter
CISM® Associate Director
- Maintain resource material related to CISM certification
- Promote CISM accreditation within the Chapter membership

The Membership committee provides Membership assistance and identifies strategies for growing ISACA and GWDC membership. The specific duties of the Director, Membership are:
- Responsible for defining, managing, and reporting on overall budget for GWDC social events and volunteer coordination activities within established timeframes
- Reports regularly on membership statistics and establishes plan for retaining/growing membership
- Works with Director, Outreach and Professional Development to ensure special focus is directed on students and young professionals
Membership Statistics & Analysis Associate Director
- Provide monthly stats regarding new, transfers, and exiting members
- Complete the annual Growth & Retention Worksheet
Social Events Associate Director
- Organize at least 2 social events that will include mixers at local venues.
- Coordinate with vendor to negotiate the terms of the contract, ensuring that the events stay within budget.
- Coordinate with Marketing and Communications Committees to ensure that the events are well advertised
Membership Mailing List Updates Associate Director
- Ensure that the new members are added to GWDC’s e-mail and mailing distribution lists on a monthly basis
Volunteer Associate Director
- Ensure that the volunteers are training at least annually
- Periodically reach out to the volunteers to ensure that they are still engaged
- Ensure that the volunteer’s listed in the volunteer database are assigned to directors and officers
- Ensure that the volunteer database is updated at least monthly
- Coordinate with the other BOD members to ensure that the events have a sufficient number of volunteers
Outreach & Professional Development Committee
Director, Outreach & Professional Development

The Outreach & Professional Development committee advocates ISACA and the GWDC to external organizations, such as Academic Institutions, Government Agencies, Businesses, and IT professional organizations. The specific duties of the Director, Outreach & Professional Development are:
- Responsible for defining, managing, and reporting on overall budget for all outreach activities within established timeframes
- Know and understand ISACA’s advocacy-related activities, such as Government and Regulatory, Academic Relations, in order to promote ISACA activities and services to these communities
- Identify local or regional outreach opportunities for engagement
- Develops outreach events, activities, and communications
- Serves as the liaison with ISACA International committees to share information
Academic Outreach Associate Director
- Take initiative and act in a lead role in developing relationships with local universities to support GWDC’s goals.
- Plan and manage Academic Events that further student awareness of GWDC, provide education and insight into the field of IT Audit and Security
- Promote ISACA Student Group formation within the universities.
- Demonstrate the value of ISACA membership and help increase student membership in GWDC
- Work with the Young Professionals Associate Director to facilitate the transition of students to young professionals members
- Explain the ISACA certification and certificate programs, the future career value of pursuing the CISA, CISM, CGEIT and CRISC certifications and the Cybersecurity Fundamentals certificate
- Working toward integrating the ISACA Model Curricula (Assurance and Security) and their concepts within the college/university
Business Outreach Associate Director
- Take initiative and act in a lead role in developing relationships with businesses to support GWDC goals.
- Build, sustain, and leverage business relationships to provide benefits to GWDC members and foster sponsorship opportunities.
- Function as a liaison between the business(es) and other GWDC Directors should it be necessary to support the objectives of the relationship.
Young Professionals Outreach Associate Director
- Take initiative and act in a lead role in providing the appropriate GWDC offerings to best engage young professionals.
- Determine and understand the interests and needs of young professionals through the use of surveys, informal feedback, social media, and other tools
- Plan and manage GWDC events geared toward young professionals.
- Develop ways in which larger chapter events (conferences) can attract more young professionals
- Work with the Academic Relations Associate Director to facilitate the transition of students to young professionals
- Organize programs and events to facilitate communication among YPs
- Regularly interact with YPs at events, meetings, conferences, seminars, workshops, etc
- Promote the value of ISACA’s certifications to YPs
- Identifying senior members in ISACA (and other related organizations) to assist in mentoring and providing guidance to YPs
- Providing feedback (activities completed, participation, activities planned, etc.) to the local chapter and the YP Subcommittee twice a year or as requested.
Sponsorships Associate Director
- Take initiative and act in a lead role in pursuing business sponsorships for GWDC.
- Reach out to businesses to obtain sponsorship for GWDC for both annual and event based sponsorship.
- Facilitate new sponsor relationships and maintain current sponsors.
- Act as the primary point of contact for all sponsorship inquiries and function as a liaison between the sponsoring organization and other GWDC Directors to ensure a mutually beneficial relationship between GWDC and the sponsor.
Communications Committee

Committee-Specific Responsibilities
The Communications committee prepares and delivers communications from the Chapter Board to the Chapter membership through various communication media. The specific duties of the Director, Communications are:
- Responsible for defining, managing, and reporting on overall budget for all social media, publications, postcards and web content activities within established timeframes
- Establish, maintain, implement, and monitor the chapter’s communications plan
- Identify and develop messages to notify members and other audiences of chapter events, articles, and other activities and services
- Tailor messages to key audiences (members, non-members, business community, academic community, etc.)
- Distribute messages through available communication channels in a timely manner
Social Media Associate Director
- Oversees the chapter’s social media presence.
- Works with the Communications Director to develop a Social Media strategy
- Publishes chapter events, announcements, and articles through social media
- Identifies strategies and new social media outlets for chapter communications
- Oversees the moderators for each social media site to ensure posts from members and moderators are appropriate and that the moderators respond in a timely manner
Publications Associate Director
- Oversees the development of articles for chapter publications.
- Identifies and reviews member-written articles for publication on the chapter website and through social media
- Ensures that articles are not copyrighted or otherwise restricted from publication on the chapter website and through social media
Web Content Associate Director
- Oversees chapter communications through external websites
- Works with other committees to obtain content for the chapter websites
- Updates events, articles, chapter information, and other content on the chapter’s primary website
- Updates event information on the chapter’s event management system
- Creates and communicates web surveys
Cvent Administrator Associate Director
- Creates all event registration pages within Cvent
- Prepares and schedules all chapter e-mail communications
- Manages chapter Cvent accounts and access
Marketing Committee
Director, Marketing
General Responsibilities

The Marketing committee oversees Marketing efforts for the Chapter. The duties of the Director, Marketing are:
- General oversight and responsibility of Marketing program for ISACA GWDC
- Responsible for defining, managing, and reporting on overall budget for all marketing activities within established timeframes
- Responsible for establishing and implementing a Marketing Plan for each fiscal year
- Works with President and Vice President in coordinating with International for marketing efforts
- Orders marketing materials from International, including updated brochures and other materials
Market Research Associate Director
- Analyze relevant data (membership, sponsorship, volunteering, etc.)
- Formulate reports containing actionable recommendations
- Develop and conduct surveys/ execute questionnaires
- Presentations of results and fielding questions
- Attend BOD meetings (alternate) in absence of Director
- Liaison to other GWDC Board Committees
Events Marketing Associate Director
- Assist with negotiations for space contracts and book event space, arrange food and beverage, order supplies and audiovisual equipment, make travel arrangements (if required), order event signs, and ensure appropriate décor (to meet the quality expectations of the chapter).
- Conduct research, make site visits, and find resources to help staff make decisions about event possibilities.
- Create and revised room layouts for each event.
- Propose new ideas to improve the event planning and implementation process.
- Serve as liaison with vendors on event-related matters.
- Assist with managing on-site production and clean up for events as necessary.
- Prepare nametags, materials, notebooks, packages, gift bags, registration lists, seating cards, etc.
- Close out all events as required.
Purchasing Associate Director
- Maintain records of items ordered and received
- Work current and/or locate vendors of materials, equipment or supplies, and interview them in order to determine product availability and terms of sales.
- Prepare and process requisitions and purchase orders for supplies and equipment.
- Monitor Purchasing budget
Audit Committee
Director, Audit
General Responsibilities

- Ensure that required tasks and initiatives are adequately staffed and appropriate deadlines are met. Additionally, provide cross-training as necessary to ensure seamless transitions
- Provide, at a minimum, a monthly status report to the Chapter Board. Any challenges requiring urgent attention should be immediately disclosed to the Chapter Board

Committee-Specific Responsibilities
The Audit committee oversees the independent audit of the accounts and financial records of the chapter, which will be conducted in accordance with sound accounting practices. The committee reviews the results of the audit with the chapter treasurer, submits a written report of the audit results to the chapter board and president, and presents the results of the audit at a chapter meeting. The specific duties of the Director, Audit are:
- Responsible for defining, managing, and reporting on overall budget for audit activities within established timeframes
- Coordinates the hiring of an independent auditor to perform an annual review of the Chapter’s financial reports and serves as the liaison between the independent auditor and treasurer
- Reviews selected samples of the Chapter’s financial transactions (income and expenses) to verify reasonableness, completeness, and accuracy in accordance with financial procedures and guidelines
- Reports the results of the review to the Board of Advisors and the Chapter President and submits the invoice for the Chapter’s financial review to the treasurer for payment
- Maintains the SharePoint audit folders so they are in compliance with the Chapter’s Records Retention policy
Audit Associate Director
- Review selected samples of the Chapter’s financial transactions (income and expenses) to verify reasonableness, completeness, and accuracy in accordance with financial procedures and guidelines
- Help maintain the Chapter’s SharePoint audit library; and ensure compliance with the applicable Records Retention policy and procedures
- Serve as a liaison between the independent auditor(s) and GWDC Treasurer
- Assist with providing the independent auditor(s) the information necessary to complete the annual financial review
